Governance & Transparency

Governance & Transparency

The Human Provision is committed to operating with the highest standards of integrity, accountability, and transparency. Strong governance is foundational to our mission and ensures that resources entrusted to us are managed responsibly and in alignment with our charitable purpose.

Governance Structure

The Human Provision is governed by a Board of Directors that provides strategic oversight, fiduciary responsibility, and policy guidance. The Board is responsible for safeguarding the organization’s mission, ensuring compliance with applicable federal and state laws, and supporting the long-term sustainability of the organization.

Our Board includes founding leadership as well as independent directors selected for their expertise in areas such as finance, healthcare, community engagement, nonprofit management, and compliance. This structure promotes informed decision-making, independent oversight, and ethical stewardship.

Board members serve fixed terms and are expected to act in the best interests of the organization at all times.

Management & Operations

Day-to-day operations are overseen by executive leadership, with clear separation between governance and management functions as the organization grows. During the early stages of development, founders may serve in both governance and operational roles; however, safeguards are in place to ensure transparency, accountability, and compliance with nonprofit best practices.

As capacity expands, The Human Provision is committed to strengthening internal controls, expanding staff leadership, and increasing independent governance representation.

Conflict of Interest Policy

The Human Provision maintains a formal Conflict of Interest Policy to protect the organization’s integrity and public trust. All directors, officers, and key personnel are required to disclose any actual or potential conflicts and to recuse themselves from decisions in which a conflict may exist.

This policy ensures that decisions are made solely in the best interests of the organization and the communities we serve.

Financial Accountability

The Human Provision is dedicated to responsible financial management and transparency. Our financial practices include:

  • Board-approved annual budgets
  • Regular financial reporting to the Board of Directors
  • Oversight by a designated Treasurer
  • Compliance with all federal and state nonprofit reporting requirements

As required, financial information and governing documents are made available to regulators, funders, and the public.

Compliance & Reporting

The Human Provision operates as a nonprofit organization organized for charitable and educational purposes under Section 501(c)(3) of the Internal Revenue Code. We comply with all applicable laws and regulations, including:

  • State nonprofit corporation requirements
  • Federal tax and reporting obligations
  • Record retention and document management standards

We are committed to ongoing compliance and continuous improvement as we grow.

Commitment to Transparency

We believe transparency builds trust. The Human Provision is committed to open communication with donors, partners, and the communities we serve. We strive to clearly communicate our mission, programs, and use of resources, and to evaluate our work with honesty and accountability.
